Pre Upgrade

I have been pondering the idea of upgrading my Preamp (Proceed AVP-S) so that I can take advantage of the 5.1 sound for my HT. I have this paired with a Proceed AMP5. I DO NOT want to get rid of the Proceed Amp5 as it is great.
That being said, I want some suggestions from you folks on a good Processor for my HT that has HDMI output (back to my Panasonic bluray) and balanced IC's for the 5 channels. My APM5 supports balanced connects and I have the cables in place. I do not want an AVR, just a processor. Any suggestions.
PS - No cheap gear please. Thanks for your help.
